Terms of Service
MVP draft. This document was prepared for VoiceQuote's early (MVP) release. It is provided for information only, is not legal advice, and will be reviewed by a qualified professional before VoiceQuote's public launch.
These Terms of Service ("Terms") are an agreement between you and FHB Tech Services Inc. ("FHB Tech Services," "we," "us," or "our") and govern your use of the VoiceQuote mobile app and related services (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use VoiceQuote on behalf of a business, you confirm that you are authorized to accept these Terms for that business.
1. Eligibility
You must be at least 18 years old and able to enter into a binding contract to use VoiceQuote. VoiceQuote is intended for business use.
2. Your Account
You must provide accurate information and keep your password secure. You are responsible for all activity under your account. Tell us promptly at support@fhbtechservices.com if you believe your account has been accessed without your permission.
3. The Service
VoiceQuote lets you create quotes by hand or by describing a job out loud, review and edit them, and share them with your customers by link, PDF, or email. Customers can view, accept, or decline a quote without an account. VoiceQuote is an early (MVP) product; features may change, and we may add usage limits (for example, on the number or length of voice recordings) to keep the Service reliable and affordable.
4. AI-Generated Drafts and Your Review
Voice quotes are produced using speech-to-text and artificial-intelligence services provided by third parties. Transcripts and suggested quote details may be incomplete or inaccurate, for example by mishearing a price, quantity, or item. You are responsible for reviewing and correcting every quote before you save or send it. VoiceQuote does not invent prices on your behalf, and totals are calculated from the values you confirm, but you remain responsible for the final content, pricing, taxes, and terms of every quote you send.
5. Your Responsibilities
- Quotes and pricing. You are solely responsible for your quotes, including prices, tax rates, discounts, and any commitments you make to your customers. VoiceQuote is not tax, accounting, or legal advice.
- Customer information. You must have a lawful basis to collect, store, and use your customers' personal information in VoiceQuote, and to send them quotes by email, under the privacy and anti-spam laws that apply to you (such as PIPEDA and CASL in Canada).
- Recordings. Only record where you are permitted to, and do not record other people without their knowledge where the law requires consent.
- Quote links. Anyone with a quote's link can view it. Share links only with the intended recipient.
- Your customer relationships. Any agreement created when a customer accepts a quote is between you and your customer. We are not a party to it and are not responsible for the work, payment, or disputes between you and your customers.
6. Acceptable Use
You agree not to:
- use VoiceQuote for anything unlawful, fraudulent, deceptive, or harmful;
- send spam or unsolicited messages, or send quotes to people who have not asked to deal with you;
- upload content that you do not have the right to use, or that is abusive, hateful, or infringes others' rights;
- try to access other users' data, probe or bypass security or rate limits, or disrupt the Service;
- reverse engineer, scrape, or resell the Service, or use it to build a competing product; or
- use automated means to access the Service other than the VoiceQuote app.
7. Your Content
You keep ownership of the content you put into VoiceQuote, including recordings, business details, customer information, and quotes ("Your Content"). You give us a limited permission to host, process, transmit, and display Your Content, including sending it to our service providers as described in the Privacy Policy, only as needed to provide and secure the Service. We do not use Your Content to train AI models.
8. Third-Party Services
VoiceQuote relies on third-party providers, including OpenAI for speech-to-text and AI processing and Resend for email delivery. Their availability is outside our control, and features that depend on them (such as voice quotes and email) may sometimes be unavailable or delayed. Emails can be delayed, filtered as spam, or fail to arrive; confirm important quotes with your customer.
9. Fees
VoiceQuote is currently provided without charge during its early release. If we introduce paid plans, we will tell you in advance, and you will not be charged unless you choose a paid plan.
10. Account Termination and Deletion
You may stop using VoiceQuote at any time. Tapping Delete Account in the app deactivates your account; signing in again restores it. You can ask us to permanently delete your account and data as described on the Support page. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Where reasonable, we will give you notice first. While an account is deactivated or after it is deleted, its customer quote links stop working.
11. Disclaimers
To the maximum extent permitted by law, VoiceQuote is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service, including transcripts, AI suggestions, calculations you rely on without review, or email delivery, will be uninterrupted, error-free, or accurate.
12. Limitation of Liability
To the maximum extent permitted by law, FHB Tech Services and its directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, business, or data, arising from your use of VoiceQuote, including errors in quotes, transcripts, or AI suggestions. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us for the Service in the 12 months before the claim and CAD $100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
13. Indemnity
You agree to indemnify and hold harmless FHB Tech Services from claims, losses, and expenses (including reasonable legal fees) arising from Your Content, your quotes, your dealings with your customers, or your breach of these Terms or of applicable law.
14. Governing Law
VoiceQuote is offered across Canada. These Terms are governed by the federal laws of Canada and the laws of the province or territory of Canada in which you reside, without regard to conflict-of-law rules. The courts of that province or territory will have jurisdiction over any dispute, unless applicable law gives you the right to bring a claim elsewhere.
15. Changes to These Terms
We may update these Terms as VoiceQuote changes. We will post the updated Terms on this page and update the "Last updated" date. If a change is material, we will take reasonable steps to let you know before it takes effect. Continuing to use VoiceQuote after the change means you accept the updated Terms.
